Accounting Principles (SAP). The Company also prepares its financial statements once
yearly on the basis of Generally Accepted Accounting Principles (GAAP). The

basis financial statements are regulatory in nature and differ materially from GAAP basis

NCLI) traded over the counter. As part of the filing requirements to be quoted on OTCBB. The Company files with
NASDAQ its regular quarterly and year-end statements. These limited filings are made
under a NASDAQ exemption provided for preferred stock (i.e. not common stock) and a
conditional life insurance company exemption from regular Securities and Exchange
Commission filing requirements. Accordingly, the filings do not meet requirements of the
1934 Exchange Act filing requirements.
